Terms of Service

Value-agents.com (the “Service”) is operated by Inhype Live Limited, a company incorporated in England and Wales (registered address: Kemp House, 152–160 City Road, London, England, EC1V 2NX; “we”, “us”, “our”).

By creating an account, purchasing a subscription or credit pack, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you and Inhype Live Limited. Please read them in full. References to “you” or “user” mean any individual or entity that accesses the Service.

Value-agents.com is an investment-research tool that automates the construction of thesis documents from public sources: SEC EDGAR filings, published market prices, and other freely available data. We use automated analysis to surface patterns and draft structured research notes.

The output of the Service is informational only and does not constitute personalised financial advice, a recommendation to buy or sell any security, or any other regulated financial activity. We are not a registered investment adviser, broker-dealer, or authorised financial services firm. You make your own investment decisions and bear full responsibility for them.

The Service retrieves and processes publicly available data. We do not guarantee the completeness or timeliness of that underlying data. Market conditions change; filings may contain errors; automated analysis may miss context that a human analyst would catch. Treat every output as a starting point for your own research, not a finished product.

The Service is intended for users who are at least 18 years old and have the legal capacity to enter a binding agreement under the laws of their jurisdiction.

By creating an account you represent and warrant that you meet those requirements and that your use of the Service does not violate any applicable law or regulation in your jurisdiction, including any restrictions on accessing investment-research tools.

We make no representation that the Service is lawful or appropriate for use in every jurisdiction. If you are located in a country where accessing the Service is restricted or prohibited, you must not use it.

You may register one account per person. Accounts are non-transferable. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.

You must notify us promptly at hello@value-agents.com if you believe your account has been accessed without authorisation.

We may suspend or terminate your account immediately if we reasonably suspect you are: sharing credentials with other people, running automated scraping or high-rate requests beyond ordinary browser use, reselling or redistributing generated analyses, or otherwise abusing the Service. Where practicable we will give prior notice, but we reserve the right to act without notice where the breach is serious.

The Service offers paid subscription plans (currently “Pro” and “Pro+”) billed monthly in USD via Stripe. Plans renew automatically at the end of each billing period until you cancel. Cancellation stops the next renewal; you retain access to the Service until the end of the current paid period. We do not issue refunds for unused portions of a billing period.

Credit packs are one-time purchases that add a fixed number of analysis credits to your account. Credits do not expire while your account is active.

The $1 trial credit is a one-time, paid promotional offer for new accounts. It is not free, it is not a recurring charge, and it is limited to one per account. Purchasing the trial credit does not commit you to a subscription.

We may change plan prices with at least 14 days’ notice. The new price will apply from your next renewal date after that notice period. If you do not wish to accept the new price, you can cancel before your next renewal.

You agree not to:

• Reverse-engineer, decompile, or attempt to extract source code from the platform or any part of the analysis pipeline.
• Run automated scripts, bots, or crawlers against the Service beyond what a standard web browser would produce in normal use.
• Resell, sublicense, or redistribute generated analyses, individually or as part of a bundled product.
• Incorporate generated analyses into a regulated investment advisory product, newsletter, or fund marketing material without separate written permission from us.
• Use the Service in any way that would cause us to be in breach of US or UK securities laws, sanctions regulations, or applicable data protection law.
• Attempt to circumvent usage limits, access controls, or billing mechanisms.

We reserve the right to determine in our reasonable judgment whether a particular use violates this policy, and to act accordingly.

You retain ownership of the inputs you provide to the Service (ticker symbols you request, notes or annotations you save).

We own the platform, its underlying software, models, prompt designs, and the structural templates used to generate analyses. Nothing in these Terms transfers that ownership to you.

Generated analyses are licensed to you on a non-exclusive, non-transferable basis for personal investment-research use only. You may save them, annotate them, and share excerpts for discussion purposes. You may not republish them verbatim, resell them, or present them as your own original research to third parties.

Nothing on value-agents.com constitutes investment advice, financial advice, tax advice, or any other professional advice. All content is provided for informational and educational purposes only. Past performance of any security does not predict future results. Any figures, projections, or valuations presented are estimates derived from publicly available data and automated analysis; they may be wrong.

You accept full responsibility for any investment decision you make based wholly or partly on output from the Service. We expressly disclaim any liability for losses arising from such decisions.

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranty of any kind, whether express, implied, or statutory. We do not warrant that the Service will be uninterrupted, error-free, or that any data it surfaces will be accurate or complete.

To the maximum extent permitted by law, our total aggregate liability to you for any claim arising out of or related to these Terms or the Service is limited to the lesser of: (a) the total fees you paid to us in the 12 months immediately before the event giving rise to the claim, or (b) one hundred pounds sterling (£100).

In no event will we be liable for any indirect, consequential, incidental, punitive, or special damages, including but not limited to loss of profits, loss of investment returns, or loss of business opportunity, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for: fraud or fraudulent misrepresentation; death or personal injury caused by negligence; or any other liability that cannot be excluded or limited under English law.

You may close your account at any time by contacting us at hello@value-agents.com. Active subscriptions must be cancelled through the billing portal to stop future charges; closing your account does not automatically cancel an active subscription.

We may terminate or suspend your access immediately and without prior notice for: material breach of these Terms, non-payment of fees, suspected fraudulent activity, or any conduct that poses a risk to other users or to the integrity of the platform.

On termination, your right to use the Service ceases. We will handle any personal data you have provided in accordance with our Privacy Policy, including applicable retention obligations.

We may amend these Terms from time to time. When we make material changes we will notify you by email to the address on your account, by in-app notice, or both, at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not accept the changes, you should stop using the Service and, if applicable, cancel your subscription before the effective date.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of London, England, unless mandatory consumer-protection laws in your jurisdiction require otherwise.
